# Terms of Service — The Good Landlord

## 1. Acceptance of Terms
By creating an account on The Good Landlord, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not use the service.
These Terms constitute a legally binding agreement between you ("User", "you") and Vallnor Alliance Ltd ("we", "us", "The Good Landlord").

## 2. Description of the Service
The Good Landlord is a property management web application designed for private landlords in the United Kingdom. The service allows you to:
- Track and manage a portfolio of residential and commercial properties
- Monitor tenancy, mortgage, insurance, and compliance information
- View cashflow summaries and portfolio analytics
- Store and organise property-related documents
- Access guidance, templates, and tools to support landlord compliance
- Use AI-assisted guidance (when the Alma feature is available)
The service is intended for landlords managing between 1 and 20 properties. Use by letting agents, property management companies, or institutional investors is not within the intended scope of this service.

## 3. Important Disclaimer — Templates, Documents, and Tools
**⚠️ READ THIS SECTION CAREFULLY.**
Any contract templates, compliance checklists, guidance articles, letter templates, or other documents and tools made available through The Good Landlord (including via the Advice Hub, document library, or Alma AI assistant) are provided **for informational and reference purposes only**.
**They do not constitute legal advice, and should not be relied upon as such.**
You assume sole responsibility for any document, template, or tool you choose to use, adapt, download, or rely upon. You must satisfy yourself that any document is appropriate for your specific circumstances, complies with applicable law, and has been reviewed by a qualified solicitor or other relevant professional where necessary.
**Vallnor Alliance Ltd accepts no liability whatsoever for:**
- Any legal dispute, claim, or proceedings arising from your use of any template or document
- Any financial loss, penalty, fine, or regulatory sanction arising from your use of any template, guidance, or tool
- Any reliance on information provided by the Alma AI assistant or any other feature of the service
This disclaimer applies to all features of The Good Landlord, whether provided at launch or added in future.

## 4. Your Account
### Registration
You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
### Eligibility
You must be at least 18 years old to use The Good Landlord. By creating an account, you confirm you are at least 18 and have the legal capacity to enter into this agreement.
### One account per person
Each account is for individual use. You may not share your account with others or create multiple accounts for the same individual.

## 5. Subscription and Payment
### Free tier
A free tier is available with limited functionality. No payment is required for the free tier.
### Paid subscriptions
Paid subscriptions are available on monthly or annual billing cycles. Pricing is displayed on the Prices page. All prices are in British pounds (GBP) and are exclusive of VAT. Vallnor Alliance Ltd is not currently VAT registered; no VAT is charged on subscriptions at this time. If Vallnor Alliance Ltd becomes VAT registered in future, VAT will be added to the displayed price and subscribers will be notified in advance.
### Free trial
New subscribers to a paid tier receive a 90-day free trial. You will be asked to provide payment details at the start of your trial. Your payment method will be charged at the end of the trial period unless you cancel beforehand. You will receive reminder emails before your trial ends.
### Payment processing
All payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's Terms of Service. We do not store your card details.
### Cancellation and refunds
**14-day cooling-off period**
If you subscribe to a paid tier for the first time, you have the right to cancel within 14 days of your subscription starting and receive a full refund. This is your statutory right under the Consumer Contracts Regulations 2013. To exercise this right, email hello@goodlandlord.co.uk with the subject line "Cancellation Request" within 14 days of subscribing.
**Cancellation after 14 days**
You may cancel your subscription at any time via the Billing section of your account. Cancellation takes effect at the end of your current billing period. Access to paid features continues until that date.
**Our goodwill refund commitment**
We want every customer to be happy with The Good Landlord. If you are not satisfied with the product after the 14-day cooling-off period:
- *Monthly subscribers:* we will refund your most recent monthly payment in full, with no deductions, provided you contact us within 30 days of that payment being taken.
- *Annual subscribers:* we will refund the pro-rata value of any unused complete months remaining in your annual term. Annual subscribers benefit from a discounted rate; the pro-rata refund reflects the standard monthly equivalent rate for the period used.
To request a goodwill refund, email hello@goodlandlord.co.uk with the subject line "Refund Request". We will process eligible refunds within 10 working days.
This goodwill refund commitment is in addition to, and does not affect, your statutory rights.
### Price changes
We reserve the right to change subscription prices with 30 days' notice. You will be notified by email. Continued use of the service after the effective date constitutes acceptance of the new price.

## 6. Acceptable Use
You must not use The Good Landlord to:
- Violate any applicable law or regulation
- Store or process data relating to individuals without a lawful basis under UK GDPR
- Upload or share content that is unlawful, harmful, threatening, or defamatory
- Attempt to gain unauthorised access to the service or other users' data
- Interfere with or disrupt the service or its infrastructure
- Reverse engineer, copy, or create derivative works from the service

## 7. Suspension and Termination
### By you
You may delete your account at any time via Account Settings. Deletion is permanent and irreversible. See our Data Deletion Policy for details of what is deleted and any data retained for legal compliance.
### By us
We reserve the right to suspend or terminate your account, with or without notice, if:
- You breach these Terms
- We reasonably suspect fraudulent or harmful activity
- Continued provision of the service is not commercially viable
If we terminate your account without cause, we will provide at least 30 days' notice and a pro-rata refund for any unused paid subscription period.
### Effect of termination
On termination, your access to the service ceases immediately. Data is handled in accordance with our Data Deletion Policy.

## 8. Intellectual Property
All content, design, code, and intellectual property within The Good Landlord is owned by or licensed to Vallnor Alliance Ltd. You may not reproduce, distribute, or create derivative works without our express written permission.
Data you enter into the service (your properties, documents, financial records) remains yours. We do not claim ownership over your data.

## 9. Limitation of Liability
The Good Landlord is a tool to support your decision-making as a landlord. All information, guidance, templates, compliance checklists, and AI-generated responses are provided for reference purposes only. You retain full responsibility for every decision you make in connection with your properties, tenancies, and legal obligations. **Vallnor Alliance Ltd accepts no liability for any outcome arising from your use of, or reliance on, the service or its content.**
To the fullest extent permitted by applicable law, Vallnor Alliance Ltd shall have no liability to you for any loss or damage of any kind arising out of or in connection with your use of The Good Landlord, including but not limited to:
- decisions made based on information or tools provided by the service
- any financial loss, penalty, fine, or regulatory sanction
- any legal dispute or proceeding involving your tenants, agents, or other parties
- loss of data, revenue, or opportunity
**Where liability cannot be excluded by law**, our total liability to you for any claim shall not exceed the total amount paid by you for the service in the 12 months immediately preceding the date of the claim. We shall not in any circumstances be liable for indirect, consequential, special, or punitive damages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

## 10. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

## 11. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you via the app and by email at least 14 days before the changes take effect. Your continued use of the service after the effective date constitutes acceptance of the revised Terms.
If you do not accept the revised Terms, you must stop using the service and may delete your account.
All previous versions of these Terms are retained and available on request.
